Position Overview
The Senior Director, Lead Counsel International will sit on the Company’s International Leadership Team and serve as the primary counsel for legal matters outside of the United States. In partnership with their colleagues on the International Leadership Team, the Senior Director, Lead Counsel International will also help grow and expand the Company’s international business, which includes commercialization, or plans to commercialize, products and services through employees in Canada, Japan and eight European countries and through exclusive distribution relationships in other markets.
The Senior Director, Lead Counsel International will perform general counsel and corporate secretariat responsibilities for the Company’s 10+ international subsidiaries, manage the Company’s team of international lawyers and legal support professionals and liaison with the Company’s broader legal, compliance and privacy functions. As needed, the Senior Director, Lead Counsel International will also assist the Company with ex-US M&A transactions, integration efforts and HR matters.
The place of work is the Company’s international headquarters in Baar, Switzerland (Canton of Zug).
Essential Duties
Include, but are not limited to, the following:
- Manage and liaison with external counsel to negotiate and execute complex transactions of high materiality and/or risk to the Company’s international business plans.
- Manage and lead day-to-day delivery of legal services to Exact Sciences’ international business, including by helping to develop, and create growth opportunities for, Exact Sciences’ current team of international lawyers and legal support professionals.
- Oversee legal review of commercial contracting, including by helping to plan for, develop and implement GDPR-compliant contracting processes, systems and policies.
- Partner with cross-functional legal and business teams to develop and implement strategies for review of compliance-sensitive contracts and materials, including grant agreements, sponsorship contracts, healthcare professional (HCP) arrangements and advertising/promotional materials.
- Provide clear, practical advice to senior business leaders and legal department members on a variety of legal matters.
- Manage all matters related to administration of Exact Sciences subsidiaries outside the U.S., including annual report filings, annual shareholder meetings, and director changes.
- Support for any M&A, business development and integrations activity by Exact Sciences outside the U.S.
- Shared support for Human Resources on employment law-related issues and employment agreements.

Minimum Qualifications
- Advanced law degree (Masters level or above or equivalent).
- 10+ years of experience as associate, counsel or partner (or international equivalent titles and/or roles) at a law firm, in a corporate law department or governmental setting.
- 5+ years of supervisory or project team lead experience with demonstrated ability to lead, develop and train team members effectively.
- Consistent demonstration of exceptional leadership qualities, including but not limited to the ability to attract and retain the best team, foster a culture of high performance, lead with integrity, humility, accountability, and courage, and set a clear vision to energize teams towards the future.
- Native or near-native level fluency in written and spoken English, including legal drafting.
- Native or near-native fluency in another major Company language (German or Swiss-German preferred).
- Experience with common commercial contracts (e.g., vendor, public and private sales, distribution, licensing and scientific collaborations) and contract-management systems.
- Experience with corporate entity administration and other corporate-law matters.
- Experience with M&A transactions and related due diligence and integration.
- Excellent communication skills (written and oral).
- Ability to effectively collaborate with, lead, and influence all levels of the organization, including senior leadership.
- Ability to navigate complex legal and regulatory environments.
- Ability to juggle competing priorities in a reporting matrix.
- Capacity to thrive in a cross-functional, multicultural and collaborative team environment.
- General eagerness to learn and ability to navigate new areas of legal landscape.
Preferred Qualifications
- Significant experience in the life-sciences industry, especially medical or in vitro diagnostic devices.
- Experience with common employment-law issues in one or more European jurisdictions.
- Prior professional exposure to substantive law of multiple jurisdictions, both common-law and civil-law.
- Familiarity and experience with data-protection matters.
